GENERAL TERMS AND CONDITIONS OF SALE – PROFESSIONAL CUSTOMERS (B2B)

0. Definitions

For the purposes of these Conditions:

·         "Jox": Jox Cosmetics srl.

·         "Customer": a professional entity holding a VAT number (company/professional/agent) that purchases from Jox.

·         "Products": nail products (UV/LED gels, semi-permanent gels, bases, top coats, colors, special and related products) supplied by Jox as private label, no label and/or bulk.

·         "Private label / Customized": product marketed under the Customer's brand/company name (with Customer's label and/or packaging).

·         "No label": supply without definitive commercial labeling, intended for subsequent customization and market placement by the Customer.

·         "Technical Document Area": a reserved section (or equivalent official channel) through which Jox can make available operational information and/or agreed documentation.

0.1 Official communications and Technical Document Area
Operational and technical communications (including, by way of example, INCI/range versions, technical updates, instructions for use, and warnings) may be made available through the Technical Document Area and/or other official channels indicated by Jox.
The Customer acknowledges that making information available through these channels constitutes valid communication for contractual purposes and that it is their exclusive responsibility to periodically consult the Technical Document Area. Jox does not undertake any obligation to individually solicit or send personalized updates.
        


1. General, Scope of Application and Formation of Contract

1.1 Scope of Application

These Conditions govern all orders for Products and/or services placed via www.gelpolish.it and/or submitted to Jox via e-mail, message, phone or other channels, as well as any accessory or subsequent operations.
Any customer conditions do not apply unless expressly accepted in writing by Jox.

1.2 Exclusively B2B Sales

Jox sells exclusively to professional customers with a VAT number. Jox does not sell to end consumers.
The Customer declares and guarantees their professional status. In the event of untrue declarations, the Customer indemnifies Jox from all consequences.

1.3 Information and Presentations

Descriptions, images, data sheets, catalogs, color charts, samples, and communications are merely indicative and do not constitute a guarantee or part of the contract, unless otherwise specifically agreed in writing.

1.4 Order and Contract Formation

Sending an order (online or via e-mail) constitutes a proposal from the Customer and does not bind Jox until written confirmation (e.g., order confirmation/proforma/invoice).
Jox reserves the right to verify availability, payment, operational conditions, and Customer profile.

1.5 Customer Qualification: Responsible Person / Manufacturer (Reg. (EC) 1223/2009)

The Customer declares, acknowledges and accepts that, pursuant to Regulation (EC) No 1223/2009, the entity that places a cosmetic product on the market by affixing its own name or brand (or marketing it as its own) qualifies as the Responsible Person and, where applicable, the Manufacturer for regulatory purposes.
For all Products supplied by Jox intended for marketing under the Customer's brand/name (private label and/or no label, with or without labeling upon request), the Responsible Person is exclusively the Customer.

1.6 Exclusion of Jox's role as Responsible Person

The Customer expressly accepts that Jox does not assume the role of Responsible Person for the Products marketed by the Customer and does not undertake the obligations and responsibilities that the legislation attributes to the Responsible Person (e.g., PIF, CPNP, labeling and claims, cosmetovigilance, recalls/withdrawals, relations with Authorities).

1.7 "1 pc to test" / samples

Where available, the "1 pc to test" option (or equivalent) is intended as a demonstration sample (for testing, color palettes, internal evaluations) and not as a product "ready for market".
Any placement on the market remains subject to the Customer's compliance as the Responsible Person.


2. Regulatory and technical documentation: scope, conditions, and services

2.1 General Principle: Responsible Person's Obligations

The Customer, as the Responsible Person, is the sole party responsible for ensuring compliance with applicable regulations (including Regulation (EC) 1223/2009) and for managing: labeling, claims, safety assessment, PIF, CPNP, cosmetovigilance, controls/inspections, and recalls/withdrawals.
The Customer accepts that Jox will only provide the documentation expressly stipulated by these Conditions and/or by written agreement; no further documents are due unless written approval is given and, where applicable, a corresponding fee is paid.

2.2 No label: documentation provided (INCI with range) and conditions

For no-label supplies / unlabeled products, the Customer accepts that Jox will make available exclusively:

·         ingredient list (INCI) with percentage ranges,

·         only for orders of 12 pieces or more per single item (unless otherwise agreed in writing).
Lower quantities are considered samples/tests and do not entitle the Customer to receive documentation.

2.3 Private label / customized: documentation provided (INCI with range + label PDF)

For customized/labeled products upon Customer's request, Jox may provide:

·         ingredient list (INCI) with percentage ranges;

·         label file in PDF related to the graphic provided/approved by the Customer, as operational support.
The graphic design, mandatory content, regulatory correctness, languages, claims, and use of the label remain under the exclusive responsibility of the Customer as the Responsible Person.

2.4 Customer's obligation to request INCI/range before marketing and before shipment

The Customer acknowledges and accepts that:

·         the INCI with percentage ranges must be requested before shipment of the goods by Jox;

·         requests made after shipment and/or sale are not guaranteed and may be refused.

2.5 No ex post reconstruction, no retroactive documentation, no "history"


The Customer expressly accepts that Jox:

·         does not perform ex post document reconstructions;

·         does not reconstruct or issue ingredient lists (INCI), percentage ranges, data sheets, or documentation related to previous product versions, past batches, or already shipped supplies, unless requested within the terms of point 2.4;

·         is not obliged to retrieve or reconstruct "historical" documentation (previous years), relating to "first productions", batches no longer managed, or products held by the Customer for extended periods;

·         does not issue documentation related to products sold/shipped more than 3 (three) months prior to the request (unless otherwise agreed in writing).

Any late or retroactive request is considered lapsed, without effect, and does not entitle to any recourse, reimbursement, or dispute.

2.6 PIF – Product Information File: not included, service upon request and conditions

The PIF is not included in the supply, and there is no "standard" indistinct PIF valid for multiple customers/brands.
The Customer may request a PIF preparation service addressed to the Customer through a third-party and independent regulatory consultant (possibly indicated by Jox).

·         indicative cost: € 350.00 + VAT per product (unless otherwise quoted in writing);

·         minimum prerequisites: complete and compliant Customer labeling, data and information requested by the safety assessor, and any other necessary documentation;

·         timelines: preliminary document verification; within 45 days the consultant decides whether to proceed; subsequent drafting generally requires 30 days (barring complexity/completeness of data);

·         right of refusal: the consultant may refuse/interrupt the assignment in case of unsuitable or incomplete data, without obligation of result.
In any case, Jox bears no responsibility in relation to the drafting, outcome, or issuance of the PIF.

2.7 SDS/MSDS (REACH/CLP): not included, available for a fee

The Customer acknowledges that the SDS/MSDS is governed by REACH/CLP regulations and is not necessarily documentation required for every cosmetic product.
If available and requested for Customer needs (e.g., HSE/logistics/professional use), the SDS can only be provided upon written request and for a fee, indicative cost €50.00 + VAT per document (unless otherwise quoted in writing).

2.8 Formulation updates and provision

The Customer acknowledges that formulations may undergo changes over time for regulatory, technical, raw material sourcing, or quality improvement reasons.
The permanence of the same trade name/code/color does not imply formulation identity over time.
Updates related to INCI, percentage ranges, and/or relevant technical data can be made available through Jox's official channels (including the Technical Document Area). Publication/provision constitutes valid communication for contractual purposes.

2.9 Customer's active verification obligation

The Customer undertakes to verify the updated version of the formulation and/or INCI:

·         before each new market placement;

·         before each reorder;

·         before proceeding with CPNP notifications or updates.
It is the sole responsibility of the Responsible Person to verify the alignment between the current formulation, ingredient list, labeling, CPNP notification, and safety documentation. Any failure to verify cannot be attributed to Jox.


3. Shipping, delivery terms, risk, delivery checks, and complaints

3.1 Delivery Term: EX WORKS and transfer of risk

Unless otherwise agreed in writing, the delivery term for goods is EX WORKS.
The risk of loss, damage, breakage, theft, disappearance, storage, and any event related to transportation is fully transferred to the Customer at the time of delivery of the goods to the appointed carrier/courier (by the Customer or, if requested, organized by Jox on behalf of the Customer).
When Jox organizes transportation at the Customer's request, it acts as a mere operational auxiliary and/or agent of the Customer, with all relationships and actions towards the carrier remaining with the Customer, except in cases of fraud or gross negligence by Jox.

3.2 Shipping insurance

Optional shipping insurance is only possible if requested in writing before shipment and confirmed in writing by Jox; otherwise, the shipment is considered uninsured.

3.3 Delivery checks and forfeiture

The Customer is required to check the quantity, external integrity, and conformity of the Products upon delivery.

·         apparent defects/quantitative discrepancies: written complaint, under penalty of forfeiture, within 7 (seven) business days of delivery;

·         hidden defects: written notice, under penalty of forfeiture, within 7 (seven) business days of discovery and in any case not later than 90 (ninety) days from delivery.
In any case, any action must be exercised no later than 12 (twelve) months from the date of delivery.

3.4 Burden of proof, traceability and samples
Any claim must be accompanied by objective evidence (e.g., photos/videos, defect description, lot number, conditions of use, lamp used and curing times). At Jox's request, the Customer must retain and make available the disputed Product and send samples/pieces for technical verification. Failing this, the claim is inadmissible and considered forfeited.

3.5 Exclusion of claims for transport events

Any requests for reimbursement, compensation, replacement or indemnity for events occurring during transport are not admissible against Jox, except in cases of fraud or gross negligence.
The Customer indemnifies Jox from any claims related to transport and takes direct action against the carrier.


4. Indemnity, limitations, exclusions, and scope of liability

4.1 Full Indemnity (Responsible Person)

The Customer, as the Responsible Person, indemnifies and holds Jox (and its related parties) fully harmless from any civil, criminal, and administrative liability, as well as from claims, penalties, costs, and expenses (including legal fees), arising directly or indirectly from:

·         labeling, mandatory content, claims, translations, graphics, and regulatory compliance;

·         PIF/CPNP and regulatory compliance;

·         Authority controls/inspections, recalls/withdrawals, seizures;

·         storage/warehousing/transport/display of the product;

·         improper or non-compliant use.

4.2 Product sensitivity and storage conditions

The Customer acknowledges that products (UV/LED gels, semi-permanent and similar) are sensitive to heat/cold/temperature fluctuations and light/UV; alterations such as changes in viscosity, color, odor or abnormal polymerization phenomena may result from unsuitable storage and transport conditions.
In such cases, all responsibility lies with the Customer, and returns/replacements/refunds are not accepted.

4.3 Maximum limit of liability

Without prejudice to Article 1229 of the Civil Code, if liability attributable to Jox is definitively established, the total liability, for any contractual or extra-contractual reason, is in any case limited to a maximum amount equal to the net value of the disputed supply shown on the invoice and cannot exceed the amount actually paid by the Customer for the disputed products.
Indirect, consequential, or incidental damages are excluded, including, by way of example: loss of profit, loss of turnover, loss of customers, damage to reputation, business interruption, loss of contracts.

4.4 Exclusion of liability for slight negligence

Except in cases of fraud or gross negligence, Jox is not liable for damages resulting from slight negligence, nor for indirect or consequential damages of any nature, to the extent permitted by law.


5. Document requests, certifications, audits, and declarations: right of refusal

5.1 Undue documentation

The Customer acknowledges and accepts that any request for certifications, attestations, declarations, reports, audits, process information, supply chain qualifications, internal documents, production schemes or other documentation, different from that expressly provided for in these Conditions and/or not mandatory by law, is not owed by Jox.

By way of example and not exhaustive, the following are not owed and may be refused:

·         process or plant certifications in Jox's name;

·         supply chain certifications, third-party audits, inspection reports;

·         declarations of third-party manufacturing not contractually provided for;

·         attestations relating to suppliers, subcontractors, third-party contractors, or production processes;

·         declarations requested by consultants, Customer's customers, distributors, or other private entities;

·         documentation not expressly provided for by Regulation (EC) No. 1223/2009.

5.2 Non-binding third-party requests

The Customer acknowledges that requests made by consultants, private organizations, or third parties (other than competent Authorities) do not constitute a legal obligation for Jox and do not generate any right for the Customer.

5.3 Right of refusal and absence of default

Jox reserves the right to refuse to provide any documentation/certification/declaration:

·         not contractually provided for;

·         not legally mandatory;

·         requested after the shipment or sale of products;

·         that may expose the company to risks, liabilities, or improper interpretations of its role.
Such refusal does not constitute non-performance, does not legitimize complaints, does not entitle to suspension of payments, returns, refunds, or compensation.


6. Performance, Samples, Cosmetovigilance, Trade Secrets, Export, Unsold Products

6.1 Performance and Results

No guarantee is provided regarding the technical yield of the product, coverage, viscosity, self-leveling, polymerization, compatibility with lamps/equipment/primers/bases or third-party products, commercial or sales results.
Any performance evaluation is subjective and depends on methods of use, operator training, environmental conditions, and equipment used.

6.2 Samples/Testers and Production Batches

Any samples/testers are merely indicative. Minor variations between samples/testers and production batches (color, density, viscosity, fragrance) are physiological and do not entitle to complaints, returns, or compensation.

6.3 End-Consumer Complaints, Undesirable Effects and Cosmetovigilance

The management of end-consumer complaints, reports of undesirable effects, cosmetovigilance, and communications to competent Authorities is the exclusive obligation of the Customer as the Responsible Person. Jox is not an interface with the end consumer.

6.4 Formula, Percentages and Trade Secrets

The Customer accepts that the INCI list with percentage ranges is the only information that can be provided. Full formula, exact percentages, and composition details constitute a trade secret; there is no obligation for further disclosure.

6.5 Countries, Sales Channels and Exports

Product compliance refers exclusively to the European Union market. Any commercialization in non-EU countries, marketplaces, particular channels, or non-standard methods is under the exclusive responsibility of the Customer.

6.6 Unsold products, Expiry Dates and Stock Rotation

Returns/refunds/replacements are not permitted for unsold products, excess stock, expiry or near-expiry dates, or prolonged storage. The management of shelf-life and stock rotation is the exclusive responsibility of the Customer.

6.7 Subsequent Changes to Label/Claim/Use

Any modifications made by the Customer after delivery (labels, claims, warnings, translations, methods of use) automatically exclude all liability of Jox.

6.8 Interpretations by Consultants and Third Parties

Interpretations, requests, or assessments by consultants/auditors/private bodies/Customer's clients are not binding for Jox and do not alter contractual roles and responsibilities.

6.9 Regulatory Knowledge and Waiver of Ignorance

The Customer declares to be familiar with Regulation (EC) No 1223/2009, understands the role of Responsible Person, and waives the right to plead regulatory ignorance or informational deficiencies.

6.10 Payments and Document Requests

Payments cannot be made conditional on document requests. Any extra documents constitute separate, chargeable services. Failure to issue undue documentation does not legitimize suspensions or claims.

6.11 Regulatory Adjustments and Formulation Changes

The Customer acknowledges that the applicable cosmetic regulations, including Regulation (EC) No 1223/2009 and subsequent amendments, are subject to updates and changes over time.

Any restrictions, limitations, or prohibitions related to cosmetic ingredients may necessitate formulation changes, replacement of raw materials, or cessation of production for certain products.

Jox Cosmetics srl guarantees solely that the products, at the time of their supply, contain ingredients permitted by current cosmetic regulations.

Any regulatory changes subsequent to the sale, not foreseeable at the time of supply, remain outside the responsibility of Jox Cosmetics srl and do not entitle to returns, refunds, replacements, or indemnification for products already purchased.

6.12 Chromatic Variations between Production Batches

The Customer acknowledges that colored cosmetic products (including UV/LED gels, gel polish, semi-permanent nail polishes, and similar products) may exhibit minor chromatic variations between different production batches.

Such variations may depend on technical and production factors, including but not limited to:

·         natural characteristics of pigments;

·         differences between raw material batches;

·         production conditions;

·         storage and warehousing conditions.

Such variations are physiological in the cosmetic sector and do not constitute a product defect, nor do they entitle to returns, refunds, replacements, or complaints.

6.13 Variability of Raw Materials and Pigments

The Customer acknowledges that cosmetic products may contain pigments, colorants, and raw materials from different suppliers or different batches.

Any minimal differences relating to:

·         color tone;

·         viscosity;

·         density;

·         fragrance;

·         application behavior,

may arise from normal variability of raw materials and do not constitute a product defect.

Such differences fall within the normal production tolerance of the cosmetic sector and do not give rise to complaints, returns, or claims for compensation.

6.14 Non-repetition of Document Requests

The Customer acknowledges that any documentation provided by Jox Cosmetics srl (including, but not limited to, INCI ingredient list with percentage ranges, technical information, or other documents provided in these Conditions) refers exclusively to the supply or the temporal period to which the request was originally linked.

The Customer accepts that Jox Cosmetics srl is not obliged to re-issue the same documentation at later times, nor to provide copies, updates, or versions referring to supplies already made, unless otherwise agreed in writing.

Any repeated requests relating to previous supplies, already shipped batches, or products purchased in the past may be legitimately refused and do not constitute a contractual breach.

What is stipulated in points 2.4 and 2.5 regarding the prior request for documentation and the exclusion of retroactive documentary reconstruction remains valid.

The Customer is obliged to independently retain the received documentation. Loss or failure to archive by the Customer does not create an obligation for Jox to duplicate or resend.

6.15 Exclusion of returns for opened/used products
Returns, replacements, or refunds are not allowed for products that have been opened, used, tested, or tampered with, even partially, unless there is a proven defect attributable to Jox within the limits of these Conditions.

6.16 Exclusion of complaints for dissatisfaction and subjective expectations
The following do not constitute a defect and do not entitle to returns, refunds, or complaints: dissatisfaction with color/effect, perceived differences in performance, subjective expectations of coverage or brilliance, or non-replicable results stemming from operator technique, equipment, or environmental conditions.


7. Label, Production and Claims: Clarifications and Limitations

7.1 Label: Full Responsibility of the Customer

The Customer, as the Responsible Person, is fully responsible for all aspects of the label (content, claims, warnings, translations, legibility, layout, materials, compliance with countries and channels). Jox does not perform graphic/formal/linguistic compliance checks.

7.2 "Production" as Commercial Reference and Legal Irrelevance

Any references to "production", "line", "range", "manufactured", "developed", "private label" or similar have a descriptive/commercial value and do not attribute to Jox the role of Manufacturer or Responsible Person under Reg. (EC) 1223/2009.

7.3 Technical and Marketing Claims

The choice, use, and validity of claims (e.g., "HEMA free", "dermatologically tested", "professional", "safe", "made in", "TPO free") are the exclusive responsibility of the Customer unless otherwise specifically agreed in writing. The Customer acknowledges that claims such as "dermatologically tested", "hypoallergenic", "nickel tested", "safe", "suitable for sensitive individuals" require specific probative support and remain under the exclusive responsibility of the Customer. Jox does not provide or validate evidence to support such claims unless otherwise agreed in writing.


8. Operating Warnings: Professional Use, Curing and Product Data Sheets

8.1 Professional Use and Variability of Yield

The Products are intended for professional use and require correct application according to operating instructions. The final yield may vary depending on operational factors: quantity and thickness applied, operator technique, type and condition of the lamp, actual times, environmental conditions.

8.2 Minimum Requirements and Operating Rules

Unless otherwise indicated in the individual Product data sheet:

·         use an appropriate UV/LED lamp (minimum recommended: 48W);

·         apply thin and even coats;

·         comply with the curing times indicated in the product sheet and/or official operating instructions.

8.3 Precedence of Product Sheets

For curing times and specific methods (e.g. no-wipe top / dispersion top, bases, colors, special products), the individual Product sheets and/or operating instructions made available by Jox (also via the Technical Document Area) shall prevail.
Any phenomena such as dullness of the glossy finish, dispersion or visual color variations, differences in yield between subsequent applications, if the Product has not been used in accordance with the instructions, are not attributable to Jox.


9. Special Conditions: PRIVATE LABEL SUPPLY (A) and NO LABEL SUPPLY (B)

A) PRIVATE LABEL SUPPLY

A.1 Role of the Parties
In the case of private label supply, the Product is marketed under the Customer's brand/company name, and the Customer assumes the role of Responsible Person pursuant to art. 4 of Reg. (EC) 1223/2009 unless otherwise agreed in writing. Jox acts as a B2B supply chain provider.

A.2 Formulative Evolution
The Customer acknowledges that formulations may be subject to changes over time; the permanence of the same commercial name/code/color does not imply formulary identity.

A.3 Provision of Information
Updates relating to INCI, percentage ranges and relevant technical data are made available through official channels (including the Technical Document Area). Publication constitutes valid provision for contractual purposes.

A.3-bis Provision of Documentation

Any technical information made available by Jox Cosmetics srl through the Technical Document Area or other official channels constitutes valid provision for contractual purposes.

The Customer is obliged to verify this information before each reorder and before each placing on the market.

A.4 Obligation of Active Verification
The Customer undertakes to verify the updated version before each placing on the market, reorder and CPNP update. Any failure to verify is not attributable to Jox.

A.4-bis Prior Request for INCI and Documentary Verification

The Customer acknowledges and accepts that, even in the case of private label supply:

·         the ingredient list (INCI) with any percentage ranges must be requested by the Customer before the goods are shipped by Jox Cosmetics srl;

·         the Customer is obliged to verify the consistency between INCI, labeling, CPNP notification, and safety documentation before proceeding with the commercialization of the product.

Requests made after shipment are not guaranteed and may be refused, without this constituting a breach by Jox Cosmetics srl.

 

A.4-ter Exclusion of Retroactive Documentation

The Customer expressly accepts that Jox Cosmetics srl:

·         is not obliged to reconstruct or issue ingredient lists (INCI), percentage ranges or other documentation relating to previous product versions, past batches or already shipped supplies;

·         does not issue documentation referring to supplies made more than 3 months before the request, unless otherwise agreed in writing.

The Customer's deferred possession, storage or marketing of the products does not create any retroactive documentation obligation for Jox Cosmetics srl.

 

A.5 CPNP Update and Documentation
The CPNP update, regulatory documentation and safety assessment are the sole responsibility of the Customer. Jox has no obligation for individual solicitation or verification of the update.

A.6 Lapse and Disputes
Any complaint relating to formulation, INCI, updates or documentation must be submitted in writing within 7 days of delivery. After this period, any claim shall be deemed forfeited. No claims are allowed for penalties, inspection checks, missed CPNP updates or discrepancies between notification and updated formulation.

B) NO LABEL SUPPLY

B.1 Nature of the Supply
In the case of no-label supply, the Product is transferred without definitive commercial labeling and intended for subsequent customization or placing on the market by the Customer. The Customer assumes full responsibility for regulatory qualification.

B.2 Absence of Historical Formulative Constraint
The Customer acknowledges that reordering a Product with the same technical name does not imply formulary identity compared to previous supplies; formulations may vary over time.

B.3 Obligation of Prior Request and Verification
In the case of no label:

·         the INCI (with percentage ranges) and/or the updated version of the available information must be requested by the Customer before the goods are shipped by Jox;

·         the Customer is obliged to verify compliance and documentary alignment before proceeding with labeling, notification, distribution or sale, these obligations remaining with the Customer as the Responsible Person.

Requests made after shipment are not guaranteed and may be refused; in this case, this does not constitute a breach by Jox and does not give the right to returns, refunds, discounts, suspension of payments or compensation.

B.3-bis Exclusion of retroactive documentation on stock held by the Customer
The Customer acknowledges that any retention, storage or deferred marketing of the Products at its warehouses does not create any obligation for Jox to reconstruct or issue documentation referring to previous periods, historical versions or dated supplies. The provisions of point 2.5 remain valid.

B.4 Exclusion of Liability for Improper Regulatory Use
Jox is not responsible for the use of outdated formulations, notifications based on previous versions, labeling prepared without updated verification, or inspection disputes arising from outdated documentation.

B.5 Waiver of Recourse for Previous Supplies
The Customer waives any recourse related to previous supplies if they have not requested a formulation update before commercialization and/or have reused documentation referring to previous supplies.


10. Acceptance, Applicable Law and Jurisdiction

10.1 Acceptance

The Customer declares to have read, understood and fully accepted these Conditions, including all clauses of limitation of liability, indemnity and exclusion, which constitute an essential and determining part of the relationship.
The submission of the order, payment, as well as the collection or receipt of the Products constitute full and unreserved acceptance.

The clauses referred to in sections 2, 3, 4, 5, 6 and 9 constitute essential and determining conditions of the contract; in the absence of full acceptance, Jox would not have concluded the supply under the agreed economic conditions.

10.2 Applicable Law

These Conditions are governed by Italian law.

10.3 Jurisdiction

For any dispute, the Court of Vicenza shall have exclusive jurisdiction, subject to mandatory rules.

10.4 Hierarchy and Precedence of Documents
In case of conflict between documents, the following shall prevail in order: (i) these Conditions, (ii) Jox's order confirmation/invoice/proforma, (iii) any specific written agreements signed by Jox. Informal communications (messages/chats/phone calls) do not modify these Conditions unless confirmed in writing by Jox.

The applicable version of these Conditions is that published and/or made available by Jox on the date of sending the order (or order confirmation), and supersedes any previous version.


11. Specific Approval pursuant to articles 1341 and 1342 of the Civil Code

Pursuant to and for the purposes of articles 1341 and 1342 of the Civil Code, the Customer declares to specifically approve the following clauses:
1.2, 1.3, 1.4, 1.5, 1.6, 1.7, 2.2, 2.3, 2.4, 2.5, 2.6, 2.7, 2.8, 2.9, 3.1, 3.2, 3.3, 3.4, 4.1, 4.2, 4.3, 4.4, 5.1, 5.2, 5.3, 6.1, 6.2, 6.3, 6.4, 6.5, 6.6, 6.7, 6.8, 6.9, 6.10, 7.1, 7.2, 7.3, 8.1, 8.2, 8.3, 9.A.6, 9.B.5, 10.3 (Court of Vicenza).
